Terms & Conditions Summary
This Subscription Agreement ("Agreement") sets out the terms and conditions governing the subscription and use of the retail space and related services offered by REETH, a retail concept store operated by MyraKatha LLP ("REETH" or "Service Provider"), to the person, entity, brand, artisan, entrepreneur, craftsman or business subscribing to such services ("Subscriber").
1. Model: Reeth operates under a "Retail as a Service" model where Reeth acts as a facilitator providing designated physical retail display space, omnichannel store presence, and sales enablement support in a curated shared retail environment.
2. Subscriber: The Subscriber owns/operates the Brand engaged in manufacturing, sourcing, craftsmanship, or distribution of products wishing to leverage Reeth's ecosystem for retail expansion.
a) Electronic Nature: This Agreement is made available electronically through the REETH platform/server and is intended to be accepted electronically by the Subscriber.
b) Binding Consent: By clicking "I Agree", "Accept", or submitting the acceptance form, the Subscriber acknowledges that it has read, understood, and agreed to be legally bound by all terms.
c) No Physical Signature Required: Electronic acceptance constitutes valid and binding execution under the Information Technology Act, 2000 and Indian Contract Act, 1872.
d) Audit Trail: Electronic records including date, time, IP address, and account details maintained by REETH serve as conclusive legal evidence of acceptance.
a) Display Space: Reeth grants the Subscriber a non-exclusive, revocable right to display and retail approved products within designated zones in Reeth concept store(s).
b) Store Staff & Customer Service: Reeth provides store attendants, point-of-sale checkout, customer assistance, daily maintenance, and store utilities.
c) Marketing & Promotions: Reeth includes brand visibility in general store marketing, festive campaigns, and omnichannel digital catalogs as per the selected subscription plan tier.
a) Product Delivery: The Subscriber is responsible for timely delivery of agreed inventory quantities to Reeth's designated fulfillment address.
b) Quality & Compliance: All products must adhere to Indian standard safety, labeling, packaging, and quality benchmarks. Prohibited, counterfeit, or hazardous items are strictly disallowed.
c) Stock Reconciliation: Periodic inventory audits and sales reports will be generated and shared with the Subscriber per the agreed plan schedule.
a) Subscription Fee: Subscriber shall pay the applicable monthly/annual subscription fees as per the chosen plan tier (Basic, Pro, Growth, Executive) plus applicable GST.
b) Sales Payouts: Net sales revenue collected by Reeth on behalf of the Subscriber will be remitted in scheduled settlement cycles after deduction of applicable service charges, TDS, or commissions.
c) Security Deposit: Where applicable, any refundable security deposit must be paid prior to store onboarding.
a) Term: This Agreement begins upon electronic acceptance and continues for the selected subscription duration unless terminated earlier in accordance with its provisions.
b) Notice Period: Either party may terminate with 30 (thirty) days written notice after the completion of the agreed initial lock-in period.
c) Immediate Termination: Reeth reserves the right to immediately suspend or terminate in cases of material breach, sale of unauthorized goods, or non-payment.
d) Unsold Inventory: Upon termination, the Subscriber shall collect remaining unsold stock within thirty (30) days following final settlement.
a) Indian Law: This Agreement is governed by and construed in accordance with the laws of India.
b) Arbitration: Any disputes shall be resolved through arbitration in Bangalore, Karnataka under the Arbitration and Conciliation Act, 1996 in the English language.
c) Jurisdiction: The courts of Bangalore, Karnataka shall have exclusive jurisdiction over all matters arising hereunder.
